End User Licence Agreement

This End User Licence Agreement ("EULA") is a legal agreement between you ("End User") and Glow Up Hub, operated by K&L Collective Pty Ltd (ACN 699 071 746, ABN 41 699 071 746) ("Glow Up Hub", "we", "us"),governing your use of the Glow Up Hub software platform ("Platform"). It applies to both salon owners who subscribe to the Platform and staff users who access the Platform on behalf of a subscribing salon.

By creating an account or accessing the Platform in any capacity, you agree to be bound by this EULA. If you do not agree, you must not access or use the Platform.

This EULA should be read together with our Terms and Conditions, Privacy Policy, Data Processing and Sharing Agreement, and Acceptable Use Policy.

1. Grant of Licence

1.1 Licence to Salon Owners

Subject to your compliance with this EULA and payment of the applicable Subscription fees, Glow Up Hub grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for the purpose of managing your beauty business knowledge base, training your staff, and delivering the AI Staff Assistant to your authorised staff users.

1.2 Licence to Staff Users

A salon owner who subscribes to the Platform may grant their staff users access to the Platform. Staff users are granted a limited, non-exclusive, non-transferable, revocable sub-licence to access and use the Platform solely for the purpose of accessing the knowledge base and AI Staff Assistant made available by the salon that employs them. This licence is personal to the staff user and is not transferable to any other person or business.

1.3 Scope of Licence

This licence permits you to:

• access and use the Platform via a supported web browser or application;
• upload Customer Content to the Platform in accordance with our Terms and Conditions and Acceptable Use Policy;
• interact with the AI Staff Assistant for knowledge management and training purposes; and
• access Platform Content provided by Glow Up Hub including national laws and industry guidance.

2. Licence Restrictions

You must not, and must not attempt to:

• copy, reproduce, distribute, or create derivative works based on the Platform or any part of it;
• reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform;
• sell, sublicence, rent, lease, transfer, or otherwise commercially exploit access to the Platform;
• remove, obscure, or alter any proprietary notices, labels, or branding on the Platform;
• use the Platform in a way that violates our Acceptable Use Policy or any applicable Australian law;
• access or attempt to access any other End User's account or data environment; or
• use automated tools or scripts to interact with the Platform without our written consent.

3. Intellectual Property

3.1 Platform Ownership

All intellectual property rights in the Platform, including its software, design, features, interfaces, documentation, and underlying technology, are owned by or licensed to Glow Up Hub. Nothing in this EULA transfers any ownership of those rights to you.

3.2 Your Content

You retain all intellectual property rights in the Customer Content you upload to the Platform. By uploading content, you grant Glow Up Hub a limited licence to store and process that content solely to provide the Platform services to you, as described in our Data Processing and Sharing Agreement.

3.3 Platform Content

Platform Content created and provided by Glow Up Hub, including national laws, industry standards, and compliance guidance, remains the intellectual property of Glow Up Hub or its licensors. You may access and use Platform Content within the Platform for your internal business purposes but may not copy, reproduce, or distribute it outside the Platform.

3.4 Feedback

If you provide feedback or suggestions about the Platform, you grant Glow Up Hub a perpetual, royalty-free licence to use that feedback for any purpose without obligation to you.

4. Updates and Changes to the Platform

Glow Up Hub may update, modify, or improve the Platform from time to time. Updates may add, change, or remove features. We will endeavour to notify you of material changes to the Platform in advance. Your continued use of the Platform following an update constitutes acceptance of the updated version.

We reserve the right to discontinue the Platform or any feature with reasonable notice to users. In the event of discontinuation of the entire Platform, we will provide at least 30 days notice by email and will offer a pro-rata refund for any prepaid Subscription period remaining.

5. Term and Termination

5.1 Term

This EULA commences when you first access the Platform and continues for as long as you hold an active account or active staff user access, whichever applies.

5.2 Termination by You

Salon owners may terminate this EULA by cancelling their Subscription in accordance with our Refund and Cancellation Policy. Staff user access terminates automatically when the salon owner removes the staff user from their account or cancels their Subscription.

5.3 Termination by Us

We may suspend or terminate your licence immediately if you breach any material term of this EULA, our Terms and Conditions, or our Acceptable Use Policy. On termination, your right to access and use the Platform ceases immediately.

5.4 Effect of Termination

On termination of this EULA, you must immediately cease using the Platform. Clauses relating to intellectual property, liability, and governing law survive termination.

6. Disclaimer of Warranties

To the maximum extent permitted by Australian law, the Platform is provided on an "as is" and "as available" basis. Glow Up Hub does not warrant that:

• the Platform will be uninterrupted, error-free, or free from viruses or other harmful components;
• the Platform will meet your specific requirements or expectations;
• any errors in the Platform will be corrected; or

AI-generated responses will be accurate, complete, or fit for any particular purpose.

Nothing in this clause excludes any guarantee, warranty, or consumer right that cannot be excluded under the Australian Consumer Law.

7. Limitation of Liability

To the maximum extent permitted by law, Glow Up Hub's total liability to you under or in connection with this EULA is limited to the total Subscription fees paid by the subscribing salon in the 12 months preceding the event giving rise to the claim. We are not liable for any indirect, incidental, or consequential loss arising from your use of the Platform.

8. Governing Law

This EULA is governed by the laws of the State of Victoria, Australia. Any disputes arising under this EULA are subject to the dispute resolution process set out in our Terms and Conditions.

9. Changes to This EULA

We may update this EULA from time to time. We will notify you of material changes by email at least 30 days before the updated EULA takes effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated EULA.
